Acceptance of Terms
Agreement to Terms
By accessing or using Nyovate software products and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not access or use our services.
Organizational Agreement
If you are using our services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these terms. In such cases, "you" refers to both you as an individual and the organization.
Modifications
We reserve the right to modify these terms at any time. Material changes will be communicated through in-product notifications or email. Continued use of our services after changes constitutes acceptance of the modified terms.
Service Description
Product Portfolio
Nyovate provides business software products for human resources, customer relationship management, financial operations, and workflow automation. Services are delivered as software-as-a-service (SaaS) solutions hosted on our infrastructure.
Service Availability
We strive to maintain high service availability but do not guarantee uninterrupted access. Scheduled maintenance, security updates, and infrastructure changes may result in temporary service interruptions. We provide advance notice when possible.
Service Modifications
We may modify, suspend, or discontinue features or services at any time. We will provide reasonable notice of substantial changes that affect core functionality. Modifications are made to improve security, performance, or operational integrity.
User Obligations
Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access or security breach.
Acceptable Use
You agree to use our services in compliance with applicable laws and regulations. Prohibited activities include unauthorized access attempts, data scraping, reverse engineering, security testing without authorization, and any use that could harm our systems or other users.
Data Accuracy
You are responsible for the accuracy, quality, and legality of data you submit to our systems. You must have appropriate rights and permissions for all data you process through our services.
Intellectual Property
Nyovate Property
All software, documentation, designs, trademarks, and other materials provided as part of our services remain the intellectual property of Nyovate. These terms grant you a limited, non-exclusive, non-transferable license to use our services as intended.
User Data
You retain all rights to data you submit to our services. By using our services, you grant us the necessary rights to process, store, and transmit your data solely for the purpose of service delivery and operational requirements.
Restrictions
You may not copy, modify, distribute, sell, or lease any part of our services or included software. You may not reverse engineer or attempt to extract source code unless explicitly permitted by law.
Privacy and Security

Compliance

Payment Terms

Payment
Payment is due according to the terms specified in your service agreement. Late payments may result in service suspension. All fees are non-refundable except as required by law or specified in your agreement.
Taxes
Fees do not include applicable taxes. You are responsible for all taxes associated with your use of our services, except for taxes based on our net income.
Termination
Termination by User
You may terminate your use of our services at any time by closing your account. Termination does not relieve you of payment obligations for services already provided.
Termination by Nyovate
We may suspend or terminate your access to our services if you violate these terms, fail to make required payments, or if we cease offering services. We will provide reasonable notice except in cases of serious violations or legal requirements.
Effect of Termination
Upon termination, your right to access our services ceases immediately. We will retain your data according to our retention policies and may provide data export capabilities subject to your account status.
Warranties and Liability
Service Warranty
Our services are provided "as is" without warranties of any kind, express or implied. We do not warrant that services will be error-free, uninterrupted, or meet your specific requirements.
Limitation of Liability
To the maximum extent permitted by law, Nyovate shall not be liable for indirect, incidental, special, consequential, or punitive damages. Our total liability for any claim shall not exceed the amount you paid us in the twelve months preceding the claim.
Exceptions
Some jurisdictions do not allow limitation of certain warranties or liabilities. In such cases, limitations apply to the maximum extent permitted by applicable law.
General Provisions

These terms are governed by the laws of the jurisdiction specified in your service agreement, without regard to conflict of law provisions.

Severability
If any provision of these terms is found invalid or unenforceable, the remaining provisions continue in full force and effect.
